株式会社オーバルと当社による流量計のライセンス契約の締結に関してのお知らせ

2023年2月24日付け、オーバル社代表取締役社長谷本淳氏と当社CEOフリードリッヒ・ザントナーは、当社にオーバル社のコリオリ流量計と電磁流量計を製造、改造、更に開発するライセンス、及び2024年1月1日より日本を除く地域で販売するライセンスを与える契約を締結しました。

この契約締結に先立ち、日本の流量計メーカーであるオーバル社と計測技術メーカーである当社は一連の協議をし、お互いに訪問をしました。当業務提携に基づき、オーバル社は当社にライセンスを供与する代わりに、相当額の一時金と10年間のユニットベースのライセンス料を受け取ることになります。また、オーバル社の主要市場における利益を保護するため、ライセンス供与地域は日本以外の海外に限定されます。なお、オーバル社は、ライセンス対象製品に関するすべての知的財産権および権利を保有し、全世界における開発・生産・販売権を引き続き自由に行使することができます。一時金およびライセンス料の金額については、公表しないことと合意しました。

オーバル社谷本淳社長と当社CEOフリードリッヒ・ザントナーは、当契約がオーバル流量計の市場での地位を大幅に拡大するために、両社にとって最適なソリューションであることと強調します。当社の世界的な販売網により、オーバル社の日本での販売権を維持しつつ、オーバル社の製品の販売機会を大幅に拡大することになります。当契約は、両社の長期的かつ信頼に基づいた協力関係の始まりとなります。

Oval Corporation and Anton Paar GmbH Sign Licensing Agreement for Flowmeters

On February 24, 2023, Mr. Jun Tanimoto (President of Oval) and Mr. Friedrich Santner (CEO of Anton Paar GmbH) signed an agreement granting Anton Paar a license to manufacture, modify and further develop Coriolis Flowmeters and Electro Magnetic Flowmeters of Oval Corporation and distribute them worldwide except Japan starting January 1, 2024.

The signing of the contract was preceded by a series of discussions and visits to the Japanese flowmeter manufacturer Oval and the measurement technology company Anton Paar in Austria. Under the terms of this business alliance, Oval will receive a considerable lump-sum payment plus unit-based royalties for a period of 10 years in exchange for granting the license to Anton Paar. The license is restricted to territories outside Japan in order to protect Oval's interests in its main market. Oval will keep all intellectual properties and rights to the licensed products and continues to be free in its worldwide development, production and distribution rights. The parties have agreed not to disclose the amount of the lump sum and the license fees.

Oval's President Jun Tanimoto and Anton Paar's CEO Friedrich Santner emphasize that this agreement is the optimal solution for both companies to significantly expand the market position of Oval flowmeters. Anton Paar's worldwide distribution network will significantly increase the sales opportunities for Oval products while maintaining Oval's sales interests in Japan. This agreement is the start of a long-term and trustful cooperation between the two companies.
